1. Acceptance of Terms
By accessing and using the Rainfall Health website and services (“Services”), you accept and agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our Services.
2. Use of Services
You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Services in any way that violates applicable federal, state, or local laws or regulations, including the Health Insurance Portability and Accountability Act (HIPAA) and applicable CMS program rules;
- Attempt to gain unauthorized access to any part of the Services or any systems or networks connected to the Services;
- Use the Services to transmit harmful, malicious, or unlawful content;
- Interfere with or disrupt the integrity or performance of the Services;
- Reproduce, distribute, or create derivative works based on our content without prior written consent.
3. Intellectual Property
All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, images, and software — are the exclusive property of Bettermeant Inc. d/b/a Rainfall Health and are protected by United States and international copyright, trademark, and other intellectual property laws. The “RAIN COMPLIANT” mark is a trademark of Bettermeant Inc.
4. HIPAA and Healthcare Data
Rainfall Health provides services to healthcare organizations and operates as a Business Associate under HIPAA with respect to clients who transmit or make available Protected Health Information (PHI) or electronic Protected Health Information (ePHI) through the Services.
Any client whose use of the Services involves PHI or ePHI must execute a signed Business Associate Agreement (BAA) with Rainfall Health prior to transmitting or providing access to such information. Use of the Services in connection with PHI without a valid BAA in place is strictly prohibited.
Rainfall Health implements administrative, physical, and technical safeguards to protect the confidentiality, integrity, and availability of ePHI in accordance with the HIPAA Security Rule. Our privacy practices are described in our Privacy Policy, which is incorporated into these Terms by reference.
5. Privacy
Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes how Rainfall Health collects, uses, and protects information, including PHI, in connection with the Services.
6. Data Security and SOC 2 Compliance
Rainfall Health maintains a security program designed to protect the confidentiality, integrity, and availability of client data. Rainfall Health is SOC 2 Type 1 certified, reflecting our commitment to rigorous controls over data security. While we implement industry-standard safeguards, no security system is impenetrable, and we do not warrant that the Services will be completely free from unauthorized access or security incidents.
7. Disclaimer of Warranties
The Services are provided “as is” and “as available” without warranties of any kind, either express or implied. The content on our website is for informational purposes only and does not constitute medical, legal, financial, or regulatory compliance advice. Nothing in the Services constitutes guidance from the Centers for Medicare & Medicaid Services (CMS) or any other governmental authority. We do not warrant that the Services will be uninterrupted or error-free.
8. Limitation of Liability
To the fullest extent permitted by law, Rainfall Health shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Services, including any reliance on information or tools provided through the Services in connection with CMS programs or regulatory requirements.
9. Modifications
We reserve the right to modify these Terms at any time. We will provide notice of material changes at least 30 days before they take effect. Your continued use of the Services after any such changes constitutes your acceptance of the updated Terms.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
